Terms of Service

1. Company Information

UserDepth LLC is a digital design and software development company providing professional services to businesses globally. Our services include UI/UX design, website design and development, branding, and custom software development. All services are delivered remotely through digital means.

UserDepth LLC does not provide financial services, does not hold or manage client funds, does not act as a payment intermediary, and does not engage in any regulated financial activities.

2. Scope of Services

Services are provided based on a mutually agreed scope defined in proposals, contracts, invoices, or written communications.
Project timelines, deliverables, pricing, and milestones are confirmed prior to project initiation.
Requests for additional features or changes outside the original scope may require revised pricing and timelines.

3. Engagement & Communication

All project communication is conducted via email, project management tools, or other agreed communication channels.
Delays caused by missing client feedback, materials, or approvals may affect delivery timelines.
UserDepth LLC will make reasonable efforts to meet agreed deadlines but does not guarantee results dependent on third-party platforms or services.

4. Payments & Billing

Payments are made strictly for professional digital services rendered.
Invoices may require full or partial advance payment depending on project size and structure.
Accepted payment methods include bank transfer, Wise, credit/debit card, or other approved electronic payment providers.
UserDepth LLC does not store, process, or retain sensitive payment details.

5. Taxes

Clients are responsible for any applicable local, state, or international taxes related to the services purchased unless otherwise stated in writing.

6. Client Responsibilities

Clients agree to:

Provide accurate and complete project requirements.
Ensure legal ownership or usage rights for all provided content, trademarks, or intellectual property.
Review and approve deliverables within a reasonable timeframe.

7. Intellectual Property Rights

Ownership of final, approved deliverables transfers to the client upon receipt of full payment.
UserDepth LLC retains ownership of working files, tools, methodologies, and pre-existing materials unless otherwise agreed.
Completed projects may be showcased in UserDepth LLC’s portfolio unless restricted by a signed NDA.

8. Confidentiality & Data Protection

Both parties agree to maintain confidentiality of non-public business and project information.
UserDepth LLC takes reasonable steps to protect client data but is not responsible for third-party data breaches.

9. Third-Party Services

Projects may involve third-party platforms (hosting providers, APIs, software tools). UserDepth LLC is not responsible for service interruptions, pricing changes, or policy updates of third-party providers.

10. Limitation of Liability

UserDepth LLC shall not be liable for indirect, incidental, or consequential damages. Total liability is limited to the amount paid by the client for the specific service.

11. Termination

Either party may terminate an engagement with written notice if contractual obligations are not met.
Fees for completed or in-progress work remain payable.
